Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and Flight Technologies, Inc. ("Flight," "we," "us," or "our") for your use of the Flight OS platform, including the Flight OS web application and our mobile apps (together, the "Services"). By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you confirm that you are authorized to bind that organization.

02

The Services

Flight OS is an enterprise platform for managing field work. Organizations use it to plan jobs, assign tasks to their field teams, collect photos, measurements, and other field data, and turn that data into results such as reports, maps, and models. We may add, change, or remove features from time to time.

03

Accounts and Access

Access to the Services requires an account created by your organization. You are responsible for:

  • Keeping your sign-in details confidential;
  • All activity under your account;
  • Using the Services in line with your organization's policies and these Terms; and
  • Telling us promptly about any unauthorized use or security incident.
04

Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law, including privacy, safety, and aviation regulations;
  • Capture photos, imagery, or data without the permissions and consents required where you work;
  • Upload content you do not have the right to submit, or that infringes the rights of others;
  • Try to gain unauthorized access to the Services, other accounts, or our systems;
  • Interfere with, disrupt, reverse engineer, or overload the Services or their infrastructure; or
  • Use the Services to build a competing product, or resell access without our written consent.
05

Your Content

You and your organization keep ownership of the photos, imagery, measurements, notes, and other content you submit ("Customer Content"). You give Flight a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content only to provide and improve the Services. You are responsible for the accuracy, legality, and rights of your Customer Content.

06

Safety and Your Responsibility

The Services provide tools and information to support field work, including measurements, maps, and site conditions such as weather and airspace status. This information is provided for convenience. It does not replace your own judgment, your organization's safety procedures, or the regulations that apply to your work, including aviation, utility, and workplace safety rules.

Measurements taken with the mobile apps, including AR measurements, are estimates. Verify them where accuracy matters for safety or compliance.

Do not use the apps in a way that puts you or others at risk. For example, do not use them while driving, or while working at height without being properly secured.

07

Third-Party Services

The Services may work with third-party services and integrations. Your use of those services is governed by their own terms, and Flight is not responsible for them.

08

Intellectual Property

The Services, including all software, design, and content provided by Flight (excluding Customer Content), are owned by Flight or its licensors and are protected by intellectual property laws. We reserve all rights not expressly granted in these Terms.

09

Fees

Access to the Services may be subject to fees under a separate agreement between Flight and your organization. Unless that agreement says otherwise, fees are non-refundable. The mobile apps are free to download.

10

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services will be uninterrupted or error-free, or that outputs, including measurements, maps, models, and analysis results, will be accurate or complete.

11

Limitation of Liability

To the maximum extent permitted by law, Flight and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amounts paid to us for the Services in the twelve months before the claim.

12

Indemnification

You agree to indemnify and hold harmless Flight and its affiliates from claims, damages, and expenses arising from your Customer Content, your use of the Services, or your violation of these Terms or applicable law.

13

Termination

We may suspend or end access to the Services if you violate these Terms, or if needed to protect the Services or other users. When access ends, your right to use the Services ends. Terms that by their nature should continue after termination will continue.

14

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, give additional notice. Continuing to use the Services after changes take effect means you accept the updated Terms.

15

Governing Law

These Terms are governed by the laws of the jurisdiction in which Flight Technologies, Inc. is established, without regard to conflict-of-laws principles, unless applicable law requires otherwise.
